1. Introduction

These Terms of Service ("Terms") govern your use of the Brainfloss platform (the "Service"), provided by Brainfloss UK Private Limited ("we", "us", or "our"). By accessing or using the Service, you (the "User") agree to be bound by these Terms. This agreement is made between Brainfloss UK Private Limited and the end user of the Service.

Our Service provides scalable, cloud-native platforms that simplify how organisations train, operate, and adopt technology — including cloud-first learning, operations, and digital enablement solutions delivered to end users as part of an arrangement with our client (your employer or training provider).

2. User Accounts

Access to the Service requires a user account. Your account may be created by you directly or provisioned by the client. You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorized use of your account.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Service by any third party. Prohibited behavior includes, but is not limited to:

• Engaging in any activity that is illegal under applicable law.
• Attempting to gain unauthorized access to our systems or networks.
• Using the Service to transmit any material that is defamatory, offensive, or otherwise objectionable.
• Introducing viruses, trojans, worms, or other material that is malicious or technologically harmful.

4. Intellectual Property

All intellectual property rights in the Service, including the platform, software, and all content (excluding user-generated content), are owned by or licensed to Brainfloss UK Private Limited. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for the duration of your engagement.

Any content you create or upload to the Service, such as code, assignments, and other materials, remains your intellectual property. However, you grant us a license to use, store, and display this content for the purpose of providing the Service.

5. Disclaimers and Limitation of Liability

The Service is provided on an "as is" and "as available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, or materials included on it. You expressly agree that your use of the Service is at your sole risk.

To the fullest extent permissible by law, Brainfloss UK Private Limited disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Service, its servers, or e-mail sent from us are free of viruses or other harmful components.

In no event shall Brainfloss UK Private Limited be liable for damages resulting from:

• Errors, mistakes, or inaccuracies of content.
• Personal injury or property damage resulting from your access to and use of our Service.
• Any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
• Any interruption or cessation of transmission to or from our Service.
• Any bugs, viruses, trojan horses, or the like, which may be transmitted to or through our Service by any third party.

Our liability is limited to the maximum extent permitted by law. This limitation of liability does not apply to any damages caused by our gross negligence or willful misconduct.

6. Service Level Agreements (SLA)

There are no service level agreements provided to end users of the Service. Any SLAs regarding uptime or service availability are governed by the separate agreement between Brainfloss UK Private Limited and the client (your employer or training provider).

7. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
